Charter of Zhengzhou University Alumni Association

Chapter I General Principles

  Article 1 The English name of "郑州大学校友会" is Zhengzhou University Alumni Association, and the abbreviated form is ZZUAA.

  Article 2 ZZUAA is a regional, all-round, and non-profit social organization voluntarily established by the alumni of Zhengzhou University (ZZU) within Henan Province.

  Article 3 The purposes of ZZUAA are as follows:

  ZZUAA shall comply with the Constitution, laws, regulations and national policies of the People's Republic of China, shall practice the core socialist values, shall follow the codes of social ethics, and shall never infringe on the national interests, the public interests and the legitimate rights of other organizations and civics.

  ZZUAA shall uphold the overall leadership of the Communist Party of China, and has set up the Party organization of ZZUAA in accordance with certain provisions of the Constitution of the Communist Party of China, thus carrying out the work and ensuring the smooth operation of the Party organization of ZZUAA.

  ZZUAA shall be committed to cementing the relationship among the alumni of ZZU and the relationship between the alma mater and the alumni, to promoting exchanges in the aspects of education, science, technology and culture, and to offering good services to the alumni of ZZU. Moreover, ZZUAA shall motivate the alumni of ZZU to follow the university's motto of "Seek Truth, Shoulder Responsibilities", to develop the university’s spirit of "Strive for Excellence", to express the university's sentiment of "Serve the People", and to make contributions to the construction and development of the alma mater as well as to the strength and prosperity of our country.

  Article 4 ZZUAA shall be under the guidance and supervision of the Education Department of Henan Province, which is its competent business authority, and of the Civil Affairs Department of Henan Province, which is its registration administrative organ.

  Article 5 ZZUAA is located in Zhengzhou, Henan Province.

Chapter II the Work Scope of ZZUAA

  Article 6 The work scope of ZZUAA is as follows:

  (1) strengthening the relationship among the alumni from all walks of life; promoting scientific and technological cooperation, fostering cultural exchanges, and arranging fellowship activities among the alumni from all walks of life.

  (2) taking full advantage of the wit and wisdom of the alumni, and extending their enormous influence so as to make contributions to the development of the alma mater as well as to the modernization drive of our country.

  (3) compiling and publishing the internal materials of ZZUAA, creating and maintaining its own database, website as well as its Wechat official account.

  (4) maintaining regular contact, enhancing exchanges with alumni associations both at home and abroad, and offering them guidance on how to carry out work.

  (5) holding activities that are beneficial to our country, to the society and to the alma mater.

Chapter III The Membership of ZZUAA

  Article 7 The membership of Zhengzhou University Alumni Association shall be categorized as collective and individual.

  Article 8 Those who apply for the membership of ZZUAA shall meet all of the following requirements:

  (1) abiding by the Charter of Zhengzhou University Alumni Association;

  (2) being willing to join ZZUAA;  

  (3) wielding some influences on ZZUAA;

  (4) being the alumni of ZZU within Henan Province;

  Those who satisfy one of the following requirements shall be recognized as the alumni of Zhengzhou University:

  (1) students and faculty who studied or worked in Zhengzhou University and its affiliates (including the former Zhengzhou University, the former Zhengzhou University of Technology, the former Henan University of Medical Sciences,the former Huanghe University and other universities or colleges that merged into ZZU during institutional adjustment);

  (2) students and faculty who are studying or working in ZZU at present;

  (3) those who are awarded by ZZU the honorary doctorate or the titles of honorary professor, adjunct professor, advisory professor, visiting professor and other titles, and those with the above degree or titles who are employed by ZZU;

  (4) if those who, though not the alumni of ZZU, have maintained close contact with ZZU and have made significant contributions to the construction and development of ZZU as well as to the work of ZZUAA discharge of their own accord the obligations the alumni of ZZU should fulfill, they, after being deliberated and approved by the Chairman's Office Meeting of ZZUAA and then being filed on record by the Standing Council, shall be awarded with the title of "honorary alumni of ZZU" and shall enjoy the rights the alumni of ZUU have. 

  Article 9 Procedures for obtaining the membership of ZZUAA are as follows: 

  (1) submitting an application for membership;

  (2) sending in related credentials such as the graduation certificate, the degree certificate, the certificate of attendance, the course-completion certificate, the identity card, the employee’s card and the like;

  (3) the organ empowered by the Council shall examine and approve the application;

  (4) the organ empowered by the Council shall issue the membership card.

  Article 10 The members of ZZUAA shall be granted all of the following rights:

  (1) the rights to elect, to be elected and to vote;

  (2) the rights to be informed of, to advise on and to supervise the work of ZZUAA;

  (3) the priority to participate in the activities of ZZUAA, and the priority to enjoy the services of ZZUAA;

  (4) joining voluntarily and withdrawing freely.

  Article 11 The members of ZZUAA shall discharge all of the following obligations:

  (1) complying with the Charter, rules and regulations of ZZUAA;

  (2) implementing the obligations adopted by ZZUAA;

  (3) safeguarding the legitimate rights and interests of ZZUAA;

  (4) reporting the situation, and providing related information to ZZUAA;

  (5) caring about, and supporting the development of ZZUAA and of the alma mater.

  Article 12 The members who violate laws, regulations and the Charter, after being voted through by the Council or the Standing Council, shall be imposed upon the following sanctions: 

  (1) disciplinary warnings;

  (2) being criticized in a circulated notice;

  (3) the rights that the members of ZZUAA have shall be suspended;

  (4) being removed from ZZUAA.

  Article 13 The members who resign their membership shall submit written notices to ZZUAA, and shall return their membership cards.

  Article 14 The members who fall under any of the following circumstances shall lose their membership automatically:

  (1) not participating in the activities of ZZUAA for two years;

  (2) no longer meeting the requirements for the membership;

  (3) completely losing the capacity for civil conduct;

  (4) individuals who are deprived of political rights.

  Article 15 When members resign, automatically lose or are deprived of their membership, their corresponding posts, rights and obligations in ZZUAA shall automatically terminate.

Chapter IV Institutions, and Election and Dismissal of the People-in-charge of ZZUAA

Section 1 The Members’ Congress of ZZUAA

  Article 16 The Members’ Congress is the highest organ of power of ZZUAA, and its functions and powers are as follows:

  (1) Formulating and amending the Charter of Zhengzhou University Alumni Association;

  (2) Electing and dismissing the members of the Council and the supervisor of ZUUAA;

  (3) Deliberating the work reports and the financial reports of the Council;

  (4) Formulating and amending the criteria for membership fees;

  (5) Deciding on the issues about changing the name of ZZUAA and about termination;

  (6) Deciding on other major issues.

  Article 17 Each Members’ Congress shall have a term of five years. If there is a need to hold the election earlier or later than scheduled due to extraordinary circumstances, this adjustment shall be voted through by the Council, shall be reported to the Education Department of Henan Province for review, and shall be approved by the Civil Affairs Department of Henan Province. The extension of the election shall not exceed one year.

  ZZUAA, before convening the Members’ Congress, shall announce to the members the people-in-charge to be appointed and the issues to be discussed 15 days earlier for 7 days.

  Article 18 If the Council deems it necessary, or more than 30 percent of the member representatives so propose, a session of the Members’ Congress shall be convened in the interim.

  Article 19 The Members’ Congress can only be convened when more than two thirds of the member representatives attend, and can only go into effect when fulfilling all of the following conditions:

  (1) Formation of and amendments to the Charter of Zhengzhou University Alumni Association, decisions on changing the name of ZZUAA and on termination, formulation of and amendments to the criteria for membership fees shall be adopted by a vote of more than two thirds of the present member representatives;

  (2) The candidates who win more votes shall be elected as the members of the Council, and their votes should account for at least 50 percent of the total;

  (3) Other resolutions shall be adopted by a vote of more than half the present member representatives.

  Article 20 All of the following issues shall be decided by secret ballots: 

  (1) Formulating and amending the Charter of Zhengzhou University Alumni Association;

  (2) Selecting and dismissing the members of the Council;

  (3) Formulating and amending the criteria for membership fees.

Section 2 the Council of ZZUAA

  Article 21 The Council of ZZUAA is the executive organ of the Members’ Congress. When the Members’ Congress is out of session, the Council shall lead the work of ZZUAA, and shall be responsible for the Members’ Congress.

  The number of the Council members shall not exceed 30 percent of that of the member representatives.

  Article 22 The representative of unit Council members shall be assumed by the principal head of the unit. When changing the representative, the unit shall submit a written notice to ZZUAA.

  Article 23 The functions and powers of the Council are as follows:

  (1) Implementing the resolutions adopted by the Members’ Congress;

  (2) Selecting and dismissing the members of the Standing Council and the people-in-charge of ZZUAA;

  (3) determining the legal representative;

  (4) Deciding on the establishment of honorary positions, and determining the people to assume these positions;

  (5) Discussing and considering the issues related to election, and making preparations for the Members’ Congress;

  (6) Presenting the work reports and the financial reports to the Members’ Congress;

  (7) Designing the internal management system;

  (8) deciding on the establishment, adjustment and termination of entities, branches and representative organizations of ZZUAA;

  (9) determining the deputy secretary general and the principal heads of the organizations;

  (10) leading the work of the organizations of ZZUAA;

  (11) deliberating on major business activities, on disposition of big assets and on major foreign-related activities;

  (12) deciding on the issues concerned with the salaries of the staff members of ZZUAA;

  (13) deciding on other major issues.

  Article 24 Each Council shall have a term of five years. If there is a need to hold the election earlier or later than scheduled due to extraordinary circumstances, this adjustment shall be voted through by the Council, shall be examined by the Education Department of Henan Province for review, and then shall be filed on record by the Civil Affairs Department of Henan Province. The extension of the election shall not exceed one year. The Council shall have the same term of office as that of the Members’ Congress.

  Article 25 The meeting of the Council can only be convened when more than two thirds of the Council members attend, and its resolutions can only be adopted by a vote of more than two thirds of the present Council members. The member of the Council who cannot be present at the meeting due to special circumstances shall issue a written authorization to entrust another representative to attend the meeting and to exercise the right to vote.

  The Council members who fail to attend the meeting of the Council twice for no reason shall be disqualified from the Council automatically.

  Article 26 The candidates who win more votes shall be selected as the members of the Standing Council or as the people-in-charge of ZZUAA, and their votes should account for at least 66 percent of the total.

  Article 27 A session of the Council shall be held at least once a year, and under special circumstances, the meeting shall be convened by means of communication technologies. When the meeting is held via communication technologies, the Council shall not decide on the adjustment of the people-in-charge.

Section 3 the Standing Council of ZZUAA

  Article 28 Zhengzhou University Alumni Association has set up the Standing Council. The members of the Standing Council shall be selected from the members of the Council, and the number of the members of the Standing Council shall not exceed that of the Council members. When the Council is out of session, the Standing Council shall exercise the functions and powers of the Council as specified in Chapter IV Section 2 Article 23 (1), (6), (8), (9), (10), (11), (12) and (13) of the Charter, and shall be responsible to the Council.

  The Standing Council shall have the same term of office as that of the Council.

  Article 29 The meeting of the Standing Council can only be convened when more than two thirds of the members of the Standing Council attend, and the resolutions shall be adopted by a vote of more than two thirds of the present members of the Standing Council. The members of the Standing Council who cannot be present at the meeting due to special circumstances shall issue a written authorization to entrust another representative to attend the meeting and to exercise the right to vote.

  The members of the Standing Council who fail to attend the meeting of the Standing Council shall be disqualified from the Standing Council automatically.

  Article 30 A session of the Standing Council shall be convened at least once half a year, and under extraordinary circumstances, the meeting shall be held by means of communication technologies.

Section 4 the People-in-charge of ZZUAA

  Article 31 The people-in-charge referred to in the Charter are the chairman (the president of the Council), the vice-chairman (the vice president of the Council) and the secretary general of Zhengzhou University Alumni Association.

  Article 32 The total number of the people-in-charge of ZZUAA shall range from five to thirteen. The people-in-charge shall be elected from the members of the Standing Council, and shall meet all of the following requirements: 

  (1) adhering to the Party’s lines, policies and guidelines, and having good political qualities;

  (2) exerting great influences over the business and activities of ZZUAA;

  (3) being under the age of 70, and the secretary general shall be full-time;

  (4) having full capacity for civil conduct;

  (5) being able to fulfill responsibilities faithfully and diligently, and safeguarding the legitimate rights and interests of ZZUAA as well as of the members;

  (6) the people-in-charge of ZZUAA shall not be near relatives;

  (7) falling out of the scope of other circumstances where the assumption of office is not permitted by laws, administrative regulations, rules and national policies

  Article 33 Those who fall under any of the following circumstances shall not be selected as the people-in-charge of ZZUAA:

  (1) without or with limited capacity for civil conduct;

  (2) being under or having been subjected to criminal penalty of deprivation of political rights;

  (3) dishonest civil debtors found by people’s courts through judicial procedures;

  (4) falling under other circumstances as regulated by laws and administrative regulations.

  Where the people-in-charge are elected or appointed in violation of the preceding provisions, the election or appointment shall be null and void.

  Article 34 The people-in-charge of ZZUAA shall have the same term of office as that of the Council, and the mandate of the person-in-charge shall be limited to two terms. If the mandate needs be extended due to extraordinary circumstances, the adjustment shall be adopted after being voted through by more than two thirds of member representatives of the Members’ Congress, then being reported to the Education Department of Henan Province for review and being approved by the Civil Affairs Department of Henan Province.

  Article 35 The Education Department of Henan Province has approved that the vice chairman shall be the legal representative of ZZUAA.

  The legal representative shall sign importance documents on behalf of ZZUAA;

  The legal representative of ZZUAA shall not concurrently act as the legal representative of other social organizations.

  The chairman of ZZUAA shall exercise the following functions and powers:

  (1) convening and presiding over the Council and the Standing Council;

  (2) inspecting the implementation of resolutions adopted by the Members’ Congress, by the Council as well as by the Standing Council.

  Article 36 When the legal representative resigns or is dismissed, ZZUAA, within the next 20 days, shall go through the registration for alteration with the Civil Affairs Department of Henan Province.

  When the former legal representative is uncooperative in the registration for alteration of legal representatives without any reason, ZZUAA, through offering the resolutions of the Council and related proof, shall be able to go through the registration for alteration with the Civil Affairs Department of Henan Province.

  Article 37 The vice chairman and the secretary general shall assist the chairman of ZZUAA with work, and the secretary general shall exercise the following functions and powers:

  (1) presiding over the daily work of the offices;

  (2) coordinating the work of the organizations of ZZUAA;

  (3) nominating the deputy secretary general of ZZUAA and the people-in-charge of the offices and entities, and then reporting the list of candidates to the Council or the Standing Council for decision;

  (4) nominating the full-time and dedicated staff, and reporting the list of candidates to the Council or the Standing Council for decision;

  (5) drafting the annual work reports and the annual work schedules, and then submitting the reports and schedules to the Council or the Standing Council for deliberation;

  (6) drafting the annual reports on the financial budget and the final cost, and submitting the reports to the Council or the Standing Council for deliberation;

  (7) designing the internal management system, and reporting to the Council or the Standing Council for deliberation and approval;

  (8) dealing with other routine tasks.

  Article 38 The Chairman’s Office Meeting of ZZUAA shall exercise the following functions and powers:

  (1) implementing the resolutions adopted by the Members’ Congress, the Council and the Standing Council;

  (2) supervising the implementation of the rules, regulations, annual work schedules and annual financial budgets of ZZUAA;

  (3) submitting proposals for issues to the Council or the Standing Council.

  The Chairman’s Office Meeting shall be composed of the chairman, the vice chairman and the secretary general of ZZUAA. The Chairman’s Office Meeting can only be held when more than two thirds of the members of the Chairman’s Office Meeting attend, and the resolutions can only be adopted by a vote of more than two thirds of the present members.

  Article 39 The Members’ Congress, the Council, the Standing Council and the Chairman’s Office Meeting shall take the minutes. When a resolution is adopted, the resolution shall be in written form, and shall be reviewed and signed by the people-in-charge.

  The election results of the Council members, of the members of the Standing Council and of the people-in-charge shall, within the next 20 days of the elections, be submitted to the Civil Affairs Department of Henan Province for the record.

Section 5 the Supervisor of ZZUAA

  Article 40 ZZUAA has the supervisor. The supervisor shall have the same term of office as that of the Council members, and the mandate of the supervisor can be renewed but shall be limited to two terms.

  Article 41 The supervisor shall be selected by the Members’ Congress, or shall be appointed by the Education Department of Henan Province or by the Civil Affairs Department of Henan Province as required by work. The people-in-charge, the Council members, the members of the Standing Council, the financial executives of ZZUAA and the near relatives of the above staff shall not act as the supervisor.

  Article 42 The supervisor shall exercise the following functions and powers:

  (1) attending the meetings of the Council and of the Standing Council, enquiring into and making suggestions on the resolutions adopted by the Council and by the Standing Council;

  (2) supervising the Council members and the members of the Standing Council when they exercise their functions and powers, and suggesting dismissing the people-in-charge, the Council members and the members of the Standing Council in accordance with procedures when they violate laws, administrative regulations, the Charter or the resolutions adopted by the Members' Congress; 

  (3) reviewing the financial reports of ZZUAA, submitting the reports on the work of the supervisor and making proposals to the Members’ Congress;

  (4) rectifying any conduct of the people-in-charge, the Council members, the members of the Standing Council and the financial executives that is harmful to the interest of ZZUAA promptly;

  (5) reporting the existing problems concerned with the work of ZZUAA to the Civil Affairs Department of Henan Province and to the tax and accounting authorities;

  (6) deciding on other issues that should be deliberated by the supervisor.

  Article 43 In case of abnormality, the supervisor shall have the right to investigate the activities of ZZUAA; the supervisor, when necessary, shall engage accounting firms to assist their work. The expenses necessary for the supervisor to exercise their functions and powers shall be covered by ZZUAA.

Chapter V Party Building, Construction of Clean Governance and Construction of Integrity and Self-discipline

  Article 44 ZZUAA has, in accordance with certain provisions of the Party Constitution and with the approval from the Party organization at a higher level, set up the Party branch of Zhengzhou University Alumni Association.

  Article 45 ZZUAA shall stringently execute the relevant regulations concerning the construction of clean governance and the anti-corruption work of social organizations.

  Article 46 ZZUAA shall adopt the promise system of integrity and of self-discipline, shall proactively sign the letter of commitment on self-discipline, shall strengthen the implementation of responsibilities, and shall ensure the fulfillment of ZZUAA’s promises to the society.

  Article 47 Every year, ZZUAA shall submit the work report of the last year to the Education Department of Henan Province before March 31st, and shall, after being preliminarily approved by the Education Department of Henan Province, submit the work report to the Civil Affairs Department of Henan Province for annual review before May 31st.

Chapter VI Assets Management and Usage Principles

  Article 48 The sources of the assets of ZZUAA are as follows:

  (1) Donations;

  (2) Government funding;

  (3) Incomes that arise from the activities or service conducted or offered within the approved business scope;

  (4) Interest;

  (5) Other legitimate incomes.

  Article 49 The assets of ZZUAA shall be utilized for the business activities as regulated by the Charter, and shall not be allotted to the members of ZZUAA. ZZUAA shall, in accordance with the principles and within the business scope as regulated by the Charter, receive donations and funding, shall utilize the donations and funding according to the allotted time, ways and legitimate purposes with which ZZUAA, donors and sponsors all have agreed, and shall report to the Education Department of Henan Province and the Civil Affairs Department of Henan Province on the donation and funding activities as well as on the assets usage. ZZUAA shall not receive the donations that are against laws, administrative regulations and social morality.

  Article 50 ZZUAA shall make its financial regulations based on the national accounting system, shall perfect its internal control mechanism, regulate the use of bills, and shall receive the supervision by financial departments. The asserts that derive from the government funding, social donations and social endowments shall be kept under the supervision by audit institutions.

  All of the financial revenues and expenditures of ZZUAA shall be put into or withdrawn from the bank account opened by ZZUAA, and ZZUAA shall not use the bank accounts opened by other organizations or individuals. 

  Article 51 ZZUAA has accounting personnel with professional qualifications. The accounting personnel shall not concurrently act as cashiers. An accountant, when being transferred to another post or leaving office, shall go through the hand-over procedures with the person to take over the post.

  Article 52 ZZUAA, before making a leadership transition or changing its legal representative, shall go through financial audit.

  Article 53 The assets and the increment value of ZZUAA shall all belong to ZZUAA, and shall not be allotted to the members of ZZUAA. No unit or individual shall occupy, privately divide or embezzle the assets and the increment value of ZZUAA.

Chapter VII Procedures for Amendments to the Charter

  Article 54 The amendments to the Charter of Zhengzhou University Alumni Association shall be voted through by the Council, be reported to the Education Department of Henan Province and the Civil Affairs Department of Henan Province for preliminary review, and then be submitted to the Members’ Congress for deliberation and approval.

  Article 55 The revised Charter can only go into effect after it is voted through by more than two thirds of the present member representatives of the Members’ Congress and then is ratified by the Civil Affairs Department of Henan Province within 30 days from the date of approval from the Education Department of Henan Province.

  Chapter VIII Termination Procedures and Disposition of Assets after the Termination

  Article 56 When falling under any of the following circumstances, ZZUAA shall, with the approval of the Education Department of Henan Province, apply to the Civil Affairs Department for cancellation of registration:

  (1) accomplishing the purposes as regulated by the Charter of Zhengzhou University Alumni Association;

  (2) dissolving by itself;

  (3) demerging or merging;

  (4) the registration of ZZUAA is cancelled or its Registration Certificate is revoked in accordance with laws;

  (5) other reasons for termination.

  Article 57 Within 30 days from the date of deciding on its termination, ZZUAA shall, under the guidance of the Education Department of Henan Province, the Civil Affairs Department of Henan Province and of other related authorities, form a liquidation team to conduct the liquidation work, and shall issue an official announcement to the public. During the liquidation period, nothing but activities concerned with the liquidation shall be carried out.

  Article 58 ZZUAA shall, after cancelling its registration with the Civil Affairs Department of Henan Province, terminate.

  Article 59 The residual assets of ZZUAA after its termination shall, under the supervision of the Education Department of Henan Province and of the Civil Affairs Department of Henan Province as well as in accordance with the relevant national regulations, be utilized to promote the causes related to the purposes of ZZUAA, or shall be donated to commonweal organizations.

Chapter IX Supplementary Provisions

  Article 60 The Charter of Zhengzhou University Alumni Association is voted through by the Members’ Congress on July 26th, 2020.

  Article 61 The Charter has come into effect since the date of being ratified by the Civil Affairs Department of Henan Province.
